Terms of Service

Greinchville LLC is a technology company that develops technologies that enable people and businesses of various interests to connect with each other and with us. The following terms govern users of Greinchville Solution LLC’s websites, web apps and mobile apps – All our products, hitherto referred to as Platforms, except where we expressly state that separate terms apply. 

Our applications are free to all users. However, businesses and organizations pay on our platforms to run advertisements for their products and services. By using our application/s, you agree that we can show you these advertisements. We may use your personal data from within the application/s to better tailor advertisements that are more relevant towards you. 

We do not sell any Personally Identifiable Information (PII) of our users with third parties, and we will not share such PII with third parties without your permission. PII include your name, email address or other contact information. Our Data Policy explains how we collect and use your personal data. We may share user data across all our platforms.

The services we provide 

We may use data such as the connections you make, the choices and settings you select, and what you share and do on our apps to personalize your experience. 

Our applications help you find and connect with people, groups, businesses, organizations, and others that matter to you within our user base. We may use the data we have to make suggestions for you and others concerning groups to join, events to attend, Pages to follow or send a message to, shows to watch, and people you may want to become friends with. 

We may show you advertisement, promotional offers, products and services and other sponsored content that are offered by businesses and organizations that use advertise on any of our platforms 

Your safety on any of our platforms is of uttermost importance to us, and as such, we want you to feel safe and be confident using our platforms. We are constantly monitoring our platforms to ensure there is no misuse. We encourage our users to report any misuse that is observed. You can report such from within our applications. We will investigate and remove such content, suspend or remove (whichever is appropriate depending on the offense) such individual from our Platforms.  

Improving our product is a never-ending effort.  We will analyze user data to better understand how we can improve our applications and provide them with new features. 

User data are stored in AWS and may be outside your country of residence. 

In order to use any of our platforms, user must:

  • Use the same name that the user uses in their daily lives.
  • Provide accurate information of themselves.
  • Create one and only one account.
  • Not share their password for their own security
  • Not give access to their account to others
  • Not transfer their account to others.

A user who has previously had his/her account deactivate due to repeated violations of our Terms and/or Privacy Policy on any of our platforms account was disabled will not be allowed back on that platform from which from which they were deactivated.

You, as a user of the platform we provide, agree to: 

  • Not violate our Terms and Conditions and Privacy Policy.
    • Not engage in unlawful, misleading, discriminatory or fraudulent acts.
    • Not infringes on or violate the civil and intellectual property rights of others.
    • Not upload malicious software that will impair the proper functions of the platform or the electronic devices of its members.
    • Not attempt to access or collect data for which you do not have the permissions to access.
    • Not harass others on the platform in any way, shape or form
    • Not post nude or adult content

We can remove or restrict access to any content/s in violation of our Terms of Use, including but not limited to deactivation of violator’s account on the platform or applicable legal action against the violator.

The permissions you give us

By using the services we provide, you give us the legal permission to: 

  1. Use the content you create and share, including the ones of which you own their intellectual property rights to provide and improve the products and services we provide to you.  You grant us a non-exclusive, transferable, sub-licensable, royalty-free, and worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of your content (consistent with your privacy and application settings). We will not take your rights to your content. 
    We retain all rights to our content and products (but not yours) protected by intellectual property rights. You may only use our copyrights or trademarks (or any similar marks) as permitted by our Brand Usage Guidelines or with our written consent.
    The content you delete will no longer be visible to others, however it may continue to exist elsewhere on our systems for a limited period of time and may still be used for investigation of any illegalities by internal, local, state or federal investigators, including judicial or administrative authority, law enforcement or government agency. In which case your content will be retain for as long as it is deemed necessary.
  1. Use your name, profile picture, and information about your actions on the platform, with ads and sponsored content without any compensation to you.

Additional provisions 

1. Updating our Terms: From time to time, we will review out Terms of Service and may need to review and update it. Any update to our Terms of Services will be communicated to all users on our platforms with delay. You have the right to remove your account from any of our platforms if you do not agree to our updated Terms of Service. 

2. Account suspension or termination: We reserve the right to suspend or terminate your account on any of our platforms if any or all of the parts of this Terms of Service is violated. We will let you know when such action is taken. The suspended or terminated account owner may appeal for such account to be reinstated. Reinstatement is not automatic and will be reviewed and decided upon with our internal processes.

3. Limits on liability

Our Products, however, are provided “as is,” and we make no guarantees that they always will be safe, secure, or error-free, or that they will function without disruptions, delays, or imperfections. To the extent permitted by law, we also DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not control or direct what people and others do or say, and we are not responsible for their actions or conduct (whether online or offline) or any content they share (including offensive, inappropriate, obscene, unlawful, and other objectionable content). 

Our liability shall be limited to the fullest extent permitted by applicable law, and under no circumstance will we be liable to you for any lost profits, revenues, information, or data, or consequential, special, indirect, exemplary, punitive, or incidental damages arising out of or related to these Terms or our Products, even if we have been advised of the possibility of such damages. Our aggregate liability arising out of or relating to these Terms or Our Products will not exceed the greater of $100 or the amount you have paid us in the past twelve months. 

4. Disputes

For any claim, cause of action, or dispute you have against us that arises out of or relates to these Terms or our Products (“claim”), you agree that it will be resolved exclusively in a court within the county in which our parent company resides. You also agree to submit to the personal jurisdiction of either of these courts for the purpose of litigating any such claim, and that the laws of the State of Texas will govern these Terms and any claim, without regard to conflict of law provisions. 

Other

  1. Some of the Products we offer may also be governed by supplemental terms. If you use any of those Products, supplemental terms will be made available and will become part of our agreement with you. To the extent any supplemental terms conflict with these Terms, the supplemental terms shall govern to the extent of the conflict.
  2. If any portion of these Terms is found to be unenforceable, the remaining portion will remain in full force and effect. If we fail to enforce any of these Terms, it will not be considered a waiver. Any amendment to or waiver of these Terms must be made in writing and signed by us.
  3. You will not transfer any of your rights or obligations under these Terms to anyone else without our consent.
  4. You may designate a person (called a legacy contact) to manage your account if it is memorialized. Only your legacy contact or a person who you have identified in a valid will or similar document expressing clear consent to disclose your content upon death or incapacity will be able to seek disclosure from your account after it is memorialized.
  5. These Terms do not confer any third-party beneficiary rights. All of our rights and obligations under these Terms are freely assignable by us in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise.
  6. You should know that we may need to change the username for your account in certain circumstances.
  7. We may use your feedback and other suggestions about our products and services without any restriction or obligation to compensate you, and we are under no obligation to keep them confidential.
  8. We reserve all rights not expressly granted to you.

Platform Standards 

We are committed to having our platform users express themselves as permitted by applicable laws. However, we will limit such expressions if they are in violation of one or plurality of the following: 

  1. Violence and Criminal Behavior: This includes but not limited to contents that foster, praise, depict or indicate
    • Violence or incitement of violence of any kind whether physical or digital
    • Threats that could or could not lead to death
    • Intent, whether expressed verbally or otherwise, to commit violence
    • Expressions asking or offering service to harm or kill others
    • Depiction of abduction or kidnapping
    • Discussions, instructions or expressions on making of weaponry of any kind
    • Threats against any individual, plurality of individuals, organization or plurality of organizations because of their sexual orientation, race, religious or personal beliefs
    • Coordinating harm to others or property and publicizing crime
  2. Dangerous Individuals and Organizations: This includes but not limited to contents that foster, praise, depict or indicate
    • Government designated Terrorist organizations and their members
    • Government designated Hate organizations and their members
    • Murders
    • Human trafficking and prostitution pedaling groups and their members
    • Government designated criminal organizations and their members
  3. Regulated Goods: This includes but not limited to the purchase, sale, trade, donation, gifting, exchange, or soliciting of:
    • Firearms
    • Non-medical drugs, recreational and medical drugs
    • Alcohol and Tobacco
    • Endangered species – dead or alive
    • Human blood
    • Historical artifacts
    • Bladed weapons
  4. Fraud and Deception: This includes but not limited to contents that foster, praise, depict or indicate
    • Investment or financial scam
    • Inauthentic identity scam
    • Product or reward scam
    • Scams related to fake documents or financial instruments
    • Stolen information, goods or services
    • Trading, sale or purchase of Personal Identifiable Information, Fake and misleading reviews or ratings
    • Betting manipulation
    • Bribery, embezzlement and money laundering
    • False or non-existing products and services
    • Inauthentic behavior
  5. Suicide and Self-Injury: This includes but not limited to contents that foster, praise, depict or indicate
    • Suicide
    • Self-injury
    • Euthanasia 
    • Assisted suicide
  6. Sexual Exploitation, Sexual Harassment, Sexual Activity, Sexual Solicitation, Abuse and Nudity: This includes but not limited to contents that foster, praise, depict or indicate the following both with Adults and Children
    • Explicit sexual intercourse or oral sex
    • Implied sexual intercourse or oral sex such as when contact is imminent or not directly visible
    • Anal stimulation
    • Genital stimulation or focus
    • Showing by-products of sexual activity
    • Bestial acts of sex
    • Sex toys
    • Stripping
    • Fetish
    • Sexualized costumes
    • Supports, promotes or encourages pedophilia
    • Identifies or mocks victims of sexual assault, exploitation, abuse or pedophilia
    • Nudity
  7. Bullying and Harassment: This includes but not limited to contents that foster, praise, depict or indicate
    • Repeated contacting of someone in a manner that is unwanted or sexually harassing
    • Malicious targeting of individual or group
    • Calling for death or arm of any kind on an individual or group
    • Targeted cursing of an individual
    • Negative physical description of an individual’s physical appearance or ability
    • Derogatory remarks relating to an individual’s gender
    • Exposing public figures particularly for malicious intent
  8. Human Exploitation: This includes but not limited to contents that foster, praise, depict or indicate
    • Sex Trafficking, covering minors and adults
    • The sale of children for illegal adoption 
    • Orphanage Trafficking
    • Forced Marriages 
    • Labor Exploitation 
    • Domestic Servitude 
    • Non-regenerative Organ Trafficking
    • Forced begging or drug trafficking
    • Recruitment of Child Soldiers
    • Human smuggling or assistance of
  9. Privacy Violations and Image Privacy Rights: This includes but not limited to contents that foster, praise, depict or indicate personally identifiable information about yourself or others such as 
    • Personal contact information of others (Phone number, address, email, etc.)
    • Government IDs, records or official document of civil registry information (marriage, birth, death, etc.)
    • Immigration or work status
    • Driver’s license and license plate
    • Credit Privacy Number (CPN)
    • Social Security Number (SSN)
    • Email address with passwords
    • Digital identity with passwords or access pins
    • Bank account information with security codes or access pins
    • Residential information of others without their permission
  10. Hate Speech, racism, Cruel and Insensitive Acts: This includes but not limited to contents that foster, praise, depict or indicate written, verbal or visual
    • Violent speech or support
    • Dehumanizing speech
    • Statement that denies existence of or is against a particular race
    • Statements against any religion
    • Statements against any individual or group because of their sexual orientation
    • Statements against any individual or group because of their mental capacity or physical capability
    • Sadistic remarks concerning any individual or group
  11. Politics: This includes but not limited to contents that foster, praise, depict or indicate
    • Political speech or actions
    • Advocating for a political belief or individual
    • Acts for or against any politician, political institution or ideology
  12. Religion: This includes but not limited to contents that foster, praise, depict or indicate
    • Religious speech or actions
    • Advocating for a religious belief or individual
    • Acts for or against any religious personality, institution or ideology
  13. Violent and Graphic Content: This includes but not limited to contents that foster, praise, depict or indicate the following on humans or animals whether written, verbal or visual
    • Dismemberment
    • Visible internal organs
    • Bodies at any stage of decomposition
    • Charred remains of or burning of people
    • Cannibalism
    • Killing or bodily torture
  14. Account Integrity and Authentic Identity: This includes but not limited to contents that foster, praise, depict or indicate
    • Posts with explicit aim to deceive others or wrongfully depict an individual, place, situation or occurrence
    • Photos and videos with explicit aim to deceive others or wrongfully depict an individual, place, situation or occurrence
    • Impersonating others with the purpose of deceiving, committing fraud, causing harm or any illegal act
  15. Spam: This includes but not limited to acts that
    • Post, share, engage with content, or create accounts, groups, pages, events or other assets, either manually or automatically, at very high frequencies
    • Invite to follow or following of more than 25 individuals per day
    • Make comments and send private messages, to solicit or not to solicit, at very high frequencies
    • Cloak
    • Like/Share-Gate
  16. Cybersecurity: This includes but not limited to acts that
    • Compromise or attempt to compromise user accounts, profiles, or other Greinchville Solutions entities, abuse our products or services, gather sensitive information through deceptive means, or attempt to engage in unauthorized access, or without explicit permission from the account, profile or entity owner
    • Obtains, acquire or request or attempts to obtain, acquire or request another user’s login credentials or other sensitive information, whether explicitly or through deceptive means such as phishing (e.g. fake surveys designed to capture log-in info or links to fake login pages or impostor websites) or the use of malicious software or websites
    • Create, share, or host malicious software browser extensions and mobile applications, on or off platform that put our users or products and services at risk
    • Provide online infrastructure, including Web Hosting Services, Domain Name System servers, and ad networks that enables abusive links such that a majority of those links on any of our platforms violate the Spam or Cybersecurity sections of our Terms of Service
  17. Harmful Diet programs: This includes but not limited to contents that foster, praise, depict or indicate
    • Diets that have been medically shown to cause harm to people and animals
  18. False News: This includes but not limited to contents that foster, praise, depict or indicate
    • Proven falsehoods and misinformation of any kind
    • Proven conspiracy theories
  19. Manipulated Media: This includes but not limited to contents that foster, praise, depict or indicate
    • Edited or synthesized videos beyond adjustments for clarity or quality, in ways that are not apparent to an average person, and would likely mislead an average person to believe a subject of the video said words that they did not say
    • product of artificial intelligence or machine learning, including deep learning techniques (e.g., a technical deepfake), that merges, combines, replaces, and/or superimposes content onto a video, creating a video that appears authentic.
  20. Intellectual Property Violation: This includes but not limited to
    • Copyright infringement
    • Trademark infringement
    • Patent infringement

Commercial Terms 

These terms apply if you also access or use our platforms for any commercial or business purpose, including advertising, use of our measurement services, managing a group or a Page for a business, or selling goods or services.

  1. User agrees that no product or service sold or advertised on any of our platforms is endorsed by Greinchville Solutions LLC. Furthermore, any user selling or advertising on any of our platforms assumes full responsibility for the accuracy and truthfulness of the product or service that is sold or advertised. User agrees that Greinchville Solutions LLC does not endorse any of the products or services that is sold or advertised on any of our platforms.
  2. User grants us a license to content that is covered by intellectual property rights (like photos or videos) you share, post, or upload on or in connection with our Products.
  3. User represents and warrants that access or use of our platforms for business or commercial purposes complies with all applicable laws, rules, and regulations. User further represent that he/she will restrict access to his/her content and apps in accordance with all applicable laws, rules, and regulations, including geo-filtering or age-gating access where required. If you are on the U.S. Treasury Department’s list of Specially Designated Nationals (or an equivalent list), you may not engage in commercial or business activities on any of our platforms
  4. User may not send to us, or use any of our platforms to collect from people, information that: 
    • User knows or reasonably should know is from or about children under the age of 13; or 
    • includes health, financial, biometrics, or other categories of similarly sensitive information (including any information defined as sensitive under applicable law); except in cases where (a) the terms for that Product or service specifically allow it or (b) User is sending financial information for the express purpose of effecting a financial transaction either with us or as enabled by any of our products or services
  5. Third Party Claims: If anyone brings a claim, cause of action, or dispute against us related to your services, actions, content or information on any of our products and services, you agree to indemnify and hold us harmless from and against any damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to any such claim, cause of action, or dispute.
  6. U.S. Commercial Claims: If you reside in the United States or your business is located in the United States: 
    • You agree to arbitrate Commercial Claims between you and Greinchville Solutions LLC. This provision does not cover any commercial claims relating to violations of your or our intellectual property rights. If a Commercial Claim between you and Greinchville Solutions LLC is not subject to arbitration, you agree that the claim must be resolved exclusively in state or federal courts located in Harris county, Texas, and that you submit to the personal jurisdiction of either of these courts for the purpose of litigating any such claim.
    • Both parties agree that, by entering into this arbitration provision, all parties are waiving their respective rights to a trial by jury or to participate in a class or representative action. THE PARTIES AGREE THAT EACH MAY BRING COMMERCIAL CLAIMS AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING. You may bring a Commercial Claim only on your own behalf and cannot seek relief that would affect other parties. If there is a final judicial determination that any particular Commercial Claim (or a request for particular relief) cannot be arbitrated according to the limitations of this Section 6.ii, then only that Commercial Claim (or only that request for relief) may be brought in court. All other Commercial Claims (or requests for relief) will remain subject to this Section 6.ii. If any party intends to seek arbitration of a dispute, that party must provide the other party with notice in writing and must be sent to the following address: Greinchville Solutions LLC, 5718 Westheimer Road, Suite 1000, Houston, TX 77057, USA. The arbitration will be governed by the AAA’s Commercial Arbitration Rules (“AAA Rules”), as modified by these Commercial Terms, and will be administered by the AAA. If the AAA is unavailable, the parties will agree to another arbitration provider or the court will appoint a substitute. 
  7. Commercial Claims outside the United States: If you reside outside the United States or your business is located outside the United States, you agree that: 
    • Any Commercial Claim between you and Greinchville Solutions LLC must be resolved exclusively in the state or federal courts located in Harris county, Texas, that you submit to the personal jurisdiction of either of these courts for the purpose of litigating any such claim, and that the laws of the State of Texas will govern these Commercial Terms and any such claim, without regard to conflict of law provisions.
    • Without prejudice to the foregoing, you agree that, in our sole discretion, we may also bring any claim we have against you related to efforts to abuse, interfere, or engage with our Products in unauthorized ways in the country in which you reside that has jurisdiction over the claim.

Payment Policies: 

These policies specify guide all payments made on our platforms.

  1. We do not retain credit card information on any of our platforms
  2. All payments on our web apps are done via PayPal and in compliance with PayPal regulations
  3. All payments on our mobile apps are done via Stripe and in compliance with Stripe regulations
  4. You can cancel subscription to any of the services we offer on our platforms. However, there shall be no refunds. Instead, all payments will be active until end of the user’s selected subscription period.

Advertising Policies

These policies specify what types of ad content are allowed by partners who advertise on any of our platforms.

  1. Advertisements must be in compliance with standards in our Terms of Service
  2. Advertisements must not contain, facilitate, promote, convey, or portray any of the following prohibited contents:
    • Illegal products, services or activities
    • Target of minors must not be done in a way that is inappropriate, illegal, unsafe, exploiting, misleading or pressurizing
    • Discrimination of race, nationality, religion, age, sex, sexual orientation, or disability
    • Promote the sale or use of tobacco products and related paraphernalia
    • Promote the sale or use of illegal, prescription or recreational drugs
    • Promote the sale or use of unsafe supplements, as determined by medical professionals
    • Promote the sale or use of weapons, ammunition, explosives, their accessories or modification.
    • Promote the sale or use of adult products or services
    • Contain nudity, depictions of people in explicit or suggestive positions, or activities that are overly suggestive or sexually provocative
    • Contain content that infringes upon or violates copyright, trademark, privacy, publicity, or other personal or proprietary rights of any third party
    • Contain shocking, sensational, inflammatory or excessively violent content
    • contain content of direct or indirect assertions or implications about a person’s race, ethnic origin, religion, beliefs, age, sexual orientation or practices, gender identity, disability, physical and/or mental medical condition, financial status, voting status, membership in a trade union, criminal record, or name
    • Contain claims debunked by legitimate third-party fact checkers
    • Direct people to non-functional landing pages
    • Promote products or services that are designed to enable a user to engage in cheating or deceitful practices
    • Contain profanity or bad grammar
    • Contain imagery that replicates play buttons, notifications, or checkboxes, as well as ads containing features that do not work, such as multiple choice options in the ad creative itself
    • Contain “before-and-after” images or images that contain unexpected, unlikely, or untrue results
    • Promote payday loans, paycheck advances, bail bonds, or any short-term loans intended to cover someone’s expenses until their next payday
    • Promote penny auctions, bidding fee auctions, or other similar business models
    • Contain content leading to external landing pages that provide an unexpected or disruptive experience
    • Contain spyware, malware, or any software that results in an unexpected or deceptive experience
    • Contain audio or flash animation that plays automatically without a person’s interaction or expands within any of the platforms after someone clicks on the ad
    • Promote products, services, schemes or offers using deceptive or misleading practices, including those meant to scam people out of money or personal information
    • Use tactics intended to circumvent our ad review process or other enforcement systems
    • Promote financial products and services that are frequently associated with misleading or deceptive promotional practices
    • Promote the sale of animal or human and/or their body parts or fluids
    • Discourage people from vaccination or advocate against vaccines
    • promote the sale of prescription pharmaceuticals
    • Promote elections or politics
    • promote cryptocurrency trading or related products and services
  3. Advertisements to promote or reference alcohol must comply with all applicable local laws, required or established industry codes, guidelines, licenses and approvals, and include age and country targeting criteria consistent with our terms of service and applicable local laws
  4. Advertisements for dating services are only allowed with prior written permission.
  5. Advertisements to promote online gambling, and gaming where anything of monetary value is required to play and anything of monetary value forms part of the prize, are only allowed with our prior written permission
  6. Advertisements to promote over-the-counter medicines must comply with all applicable local laws, required or established industry codes, guidelines, licenses and approvals, and include age and country targeting criteria consistent with applicable local law
  7. Advertisements for subscription services, or that promote products or services that include negative options, automatic renewal, free-to-pay conversion billing products, or mobile marketing are subject to our subscription services requirements
  8. Advertisements promoting credit card applications, or financial services with accredited institutions must clearly provide sufficient disclosure regarding associated fees, including APR percentages, transaction fees, interest rates and the physical address of the entity offering the product within the advertisement’s landing page. Ads promoting credit cards, loans or insurance services must be targeted to people 18 years or above. Ads promoting credit cards, loans or insurance services must not directly request the input of a person’s financial information, including credit card information
  9. Addiction treatment Advertisements targeting the USA must be certified with LegitScript
  10. Advertisements marketing weight loss products and services must be targeted to people at least 18 years or older
  11.  Advertisements for social casino games are not allowed on any of our platforms

Music Guidelines

These guidelines outline the policies that apply if you post or share content containing music on any of our platforms.

  1. Use of music for commercial or non-personal purposes is prohibited unless you have appropriate licenses.
  2. All unauthorized contents may be removed
  3. Note that you are responsible for every content you post
  4. These policies apply to all content broadcast to Facebook Live.

Eating Disorder 

Greinchville Solutions LLC is not liable for eating disorder resulting from use of any of our platforms. Users are on our platforms at own discretion. Users are strongly advised to visit https://www.nationaleatingdisorders.org/warning-signs-and-symptoms and https://www.webmd.com/mental-health/eating-disorders/signs-of-eating-disorders#1 to review signs and symptoms of eating disorder. In particular, users with eating disorder are strongly advised not to use AllChops and contact the following for support https://www.nationaleatingdisorders.org/help-support/contact-helpline or any such support facility in their home country

Guidance on Social Media and Internet Use

User is wholly and fully responsible for his/her activities on our platforms. User may refer to https://internetsafety101.org and other similar websites of choice for guidance on internet safety and responsible use of social media.

Subscription, Deactivation and Removal of Account

All users of our platforms subscribe at their own free will. User should note that:

  1. Deactivation of account is provided to our users on our mobile apps settings module. Deactivation of user account is temporary and can be reactivated on the login page
  2. Removal of account is provided to our users on our mobile apps settings module. Removal of account deletes user account and cannot be reactivated. Such user will be required to register as a new user. However, for removed accounts, we reserve the rights to archive your data for a period of 36 months, starting from the month of account removal. Your data will not be available or accessible to the public during the archive period. All data will be deleted at the end of the archive period. 

Miscellaneous Your use of any of our platforms shall be governed in all respects by the laws of the United States of America., without regard to choice of law provisions and not by the 1980 U.N. Convention on contracts for the international sale of goods. You agree that jurisdiction over any venue in any legal proceeding directly or indirectly arising out of or relating to any of our platforms shall be in the state or federal courts located in Harris county, Houston, Texas. Any cause of action or claim you may have with respect to the application must be commenced within one (1) year after the claim or cause of action arises. Our failure to insist upon or enforce strict performance of any provision of these terms and conditions shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practices shall act to modify any of these terms and conditions. Greinchville Solutions LLC may assign its rights and duties under this Agreement to any party at any time without notice to the user.
